SOUTHWEST BASKETBALL ASSOCIATION OF THE DEAF

 

CONSTITUTION

 

ARTICLE ONE -- NAME

 

1.1 NAME The name of the Association shall be the Southwest Basketball Association of the Deaf (SWBAD).

 

1.2 NON-PROFIT CORPORATION The Association is incorporated under the State of Texas Non-Profit Corporation Act.

 

ARTICLE TWO -- OBJECTIVES

 

2.1 OBJECTIVES

The objectives of the Association are:

 

2.1.1 To promote, foster and regulate uniform rules of basketball competition among deaf persons through cooperation efforts by autonomous member of the deaf in Arkansas, Louisiana, Mississippi, Oklahoma, environs of Memphis, Tennessee and Texas.

 

2.1.2 To promote and to protect the mutual interest of the member organizations.

 

2.1.3 To promote annual regional basketball tournaments of the deaf.

 

2.1.4 To maintain affiliation with the United States America Deaf Sports Federation (USADSF) and United States of America Deaf Basketball (USADB) participate in its national basketball tournaments and world deaf basketball competitions.

 

2.1.5 To promote deaf awareness by dissemination of general information and by any other means permissible by law to the public at large.

 

2.1.6 To improve and maintain the standards of the basketball among the deaf to the point where they can gain and hold respect in competition with other hearing basketball teams.

 

ARTICLE THREE -- OFFICERS

 

3.1 SWBAD EXECUTIVE OFFICERS The four (4) SWBAD Executive Officers shall be a Commissioner, a Deputy Commissioner, a Secretary/Treasurer and an Information Director.

 

3.2 SWBAD COMMISSIONER REPRESENTATIVE The SWBAD Commissioner shall represent SWBAD on the USADSF House of Delegate and USADB Executive Council's meeting.

 

3.3 ELECTION OF OFFICERS

 

3.3.1 The SWBAD Officers shall be elected by ballot and majority vote at the SWBAD basketball meeting during the annual SWBAD basketball tournament.

 

3.3.2 Each Officer shall serve for a term of two (2) years or until the next successor is elected and qualified. The term shall be from May 1st to April 30th, thereafter odd-numbered years.

 

3.4 INSTALLATION OF OFFICERS Each Officer shall be administered the oath at an installation ceremony: "Do you solemnly swear to uphold the Constitution, By-laws, Rules and Regulations and Policies of the SWBAD; to faithfully perform the duties of your office to the best of your ability; to be firm, yet fair, to all; to work diligently at all times toward the betterment of the SWBAD?" Each newly sworn officer is to respond affirmatively: "I do".

 

ARTICLE FOUR -- MEETINGS

 

4.1 SWBAD BASKETBALL MEETING

 

4.1.1 The annual SWBAD meeting shall be held during annual SWBAD basketball tournament at times designated as not to conflict with the SWBAD basketball games and other events.

 

4.1.2 Each officer, coach and delegate at large shall have one (1) vote each.

 

4.1.3 Any person who is a member or a player of one (1) team may not be delegate for a different team.

 

4.1.4 All past SWBAD Executive Committee may attend the meeting as delegate at large.

 

4.2 SWBAD EXECUTIVE COMMITTEE MEETING

 

4.2.1 There shall be regular SWBAD Executive Committee meeting at the annual SWBAD tournament. The Executive Committee shall carry out its duties and powers as prescribed in the SWBAD By-laws during this meeting.

 

4.2.2 The Executive Committee may meet during the annual SWBAD basketball tournament on the call of the SWBAD Commissioner.

 

4.2.3 The Executive Committee may vote by communication methods for collective decisions on urgent matters at such times the committee as a whole cannot meet.

 

ARTICLE FIVE -- REGISTERED AGENTS/OFFICE

 

5.1 REGISTERED AGENT Under the State of Texas Non-Profit Corporate Act, it shall be the duty of the Executive Committee to appoint a registered agent.

 

5.2 REGISTERED OFFICE

 

5.2.1 The street address of the initial registered office of the SWBAD as non-profit corporate is TBA.

 

5.2.2 It shall be the duty of the SWBAD Executive Committee to designate a street address of the SWBAD as a registered office in case a change in the street address is mandated and supersedes the initial street address.

 

ARTICLE SIX -- AMENDMENTS

 

6.1 AMENDMENTS

The SWBAD Constitution may be amended by two-third (2/3) vote of the SWBAD Executive Committee, coaches and delegate at large present and voting at the SWBAD basketball meeting held during the annual SWBAD basketball tournament.

 

6.2 ADVANCE NOTICE

The SWBAD Deputy Commissioner shall notify the SWBAD Executive Committee and coaches of the proposed amendments at least fifteen (15) days prior to the SWBAD basketball meeting held during the annual SWBAD basketball tournament.

 

6.3 REVISION AND UPDATE AND REPRINT The SWBAD Constitution, By-laws, Rules and Regulations and Policies shall be revised, updated and reprinted every year.

 

ARTICLE SEVEN -- DISSOLUTION

 

7.1 GENERAL PROCEDURE SWBAD is organized as non-profit corporate; therefore, it does not contemplate pecuniary gain or profit to the members. On the winding up and dissolution of the corporate, after payment of or adequate provision for the debts and obligations of the corporate which are organized and operated exclusively for charitable, religious and/or scientific purposes and which have stabled their tax-exempt status under section 501, subdivision (c) (3) of the Internal Revenue Code.

 

7.2 SPECIFIC DISTRIBUTIONS In event of dissolution, all tangible assets shall be sold and monies realized there together with any other monies remaining shall be equally divided among SWBAD members, provided that they are a qualified tax-exempt organization under the Internal Revenue code or shall be held by a non-profit organization as designated by the SWBAD Executive Committee against the eventual revile of this or a similar tax-exempt organization. A similar organization shall be eligible to receive these funds only after it has been in existence for minimum of five (5) years. In no case shall SWBAD be liable for any debts of this organization. A SWBAD member shall have been in existence for at least five (5) years or more to receive these funds.
